Sec. 501.314. EFFECT OF ISSUANCE OF CERTIFICATE EVIDENCING FILING OF RESTATED CERTIFICATE OF FORMATION

On the issuance of the certificate evidencing the filing of the restated certificate of formation by the secretary of state:
(1) the original certificate of formation and all amendments to the original certificate of formation are superseded; and
(2) the restated certificate of formation becomes the certificate of formation of the corporation.
